Terms of Service

1. Acceptance of Terms

By accessing or using Ervian ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. These Terms apply to all users, including individual users, organization administrators, team members, and paying subscribers.

If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" refers to the organization.

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice. Continued use of the Service after changes constitutes acceptance.

2. Description of Service

Ervian is a compliance operations and audit readiness platform for organizations. The Service provides:

• Compliance Operations: Obligation tracking, compliance inbox, requests workflow, task management, and compliance calendar
• Evidence Collection: Evidence requests, evidence review and approval workflows, evidence center, audit readiness scoring
• Audit Readiness: Audit workspaces, gap analysis, renewal tracking, readiness scoring, and reporting
• Vendor Management: Vendor register, risk assessments, DPA tracking, questionnaire management, and vendor compliance dashboard
• Training and Certifications: Training assignment, completion tracking, certification management, and policy acknowledgements
• Team Collaboration: Organization accounts, role-based access control, member invitations, and ownership assignments
• Governance: Policies, risk register, compliance standards, and assessment reviews
• Reporting: Audit readiness reports, gap analysis reports, vendor compliance reports, evidence reports, and obligation reports
• Document Generation: Privacy policy templates, terms of service templates, CCPA notices, and email footers

The Service is a software tool, not a professional service. Ervian does not provide legal, tax, accounting, or compliance consulting. All information and recommendations within the platform are informational only and should be verified by a qualified professional before being relied upon.

3. Organization Accounts and Team Access

Organization ownership

Ervian supports multi-user organizations. When you create an organization, you become the Organization Owner. The organization owns all compliance data, vendor records, evidence, training records, and audit documentation created within it.

As Organization Owner, you control: user invitations, role assignments, permission levels, data visibility, and subscription management.

User roles

Ervian provides the following roles within an organization:

• Owner: Full access including billing, user removal, and organization settings.
• Administrator: Full compliance access, can invite and manage users. Cannot transfer ownership or cancel subscription.
• Compliance Manager: Full compliance operations: obligations, evidence, audits, vendors, reports.
• Reviewer: Can review and approve tasks, evidence, and compliance requests.
• Employee: Can view assigned tasks, submit evidence, acknowledge policies, complete training.
• Executive: Read-only access to dashboards, reports, and readiness scores.

Organization responsibilities

The organization is responsible for: managing user access, assigning appropriate roles, controlling what content is uploaded, maintaining the accuracy of compliance records entered into the platform, and ensuring users comply with these Terms.

Organization isolation

Ervian strictly enforces organization data isolation. Users from one organization cannot access data belonging to another organization. This isolation is enforced at the application and database level.

4. Account Registration

You must create an account to use the Service. You agree to provide accurate and complete information and to keep it current. You are responsible for all activity that occurs under your account. You must be at least 18 years old and have the authority to enter into these Terms on behalf of any organization you represent.

You are responsible for maintaining the security of your password. Notify us immediately at security@ervian.app if you suspect unauthorized access to your account or organization.

5. Subscription and Payment

Ervian offers the following subscription tiers (prices subject to change with 30 days' notice):

• Core: $49/month — compliance inbox, obligations, calendar, document generator, up to 3 users
• Professional: $149/month — adds evidence center, requests workflow, risk register, compliance standards, up to 15 users
• Business: $349/month — adds vendor management, training, audit workspaces, gap analysis, reports, unlimited users

All plans are free during the beta period. Prices shown are post-beta rates. Early adopters lock in their pricing tier.

• Billing: Subscriptions are billed monthly in advance via Stripe.
• Cancellation: You may cancel at any time from billing settings. Cancellation takes effect at the end of the current billing period. No refunds for partial months.
• Data on cancellation: Your organization data is retained for 30 days after cancellation, during which you may export your records. After 30 days, data may be deleted.

6. Data Ownership and Evidence Records

Your organization owns its data

All compliance records, evidence, vendor records, training records, audit documentation, and other data created or uploaded by your organization remain the property of your organization. Ervian does not claim ownership of your compliance data.

Evidence and compliance records

Evidence items, compliance requests, vendor assessments, training assignments, policy acknowledgements, and audit records created within the platform belong to your organization. Ervian provides storage, processing, and workflow tools for this data but does not own it.

Content you upload

By uploading documents, evidence files, or other content, you grant Ervian a limited license to store, process, and display that content for the purpose of operating the Service. This license is non-exclusive, revocable, and limited to the operation of the platform.

Accuracy of compliance data

You are responsible for the accuracy and completeness of compliance records entered into the platform. Ervian does not verify the accuracy of compliance data entered by your team.

7. Data Export and Portability

Your organization has the right to export its compliance data within platform limitations. Available exports include:

• Audit readiness reports (PDF/summary)
• Gap analysis reports
• Vendor compliance reports
• Evidence reports
• Obligation reports
• Training and acknowledgement records

We do not currently provide bulk database export. If your organization requires data extraction beyond standard reports, contact support@ervian.app.

8. Acceptable Use

You may not use the Service to:

• Violate any applicable law or regulation
• Upload malicious code, malware, or harmful content
• Attempt to access another organization's data
• Reverse engineer or attempt to extract the Service's source code
• Use the Service for any fraudulent purpose
• Sell, resell, or sublicense access to the Service without written permission
• Conduct automated scraping or data extraction beyond authorized API access

9. Intellectual Property

Ervian and its licensors own all rights in the platform, including software, algorithms, user interface, documentation, and methodology. These Terms do not transfer any intellectual property rights to you. Your feedback, suggestions, and feature requests may be used by Ervian without obligation to you.

10. Third-Party Integrations

The Service may integrate with third-party platforms (Shopify, SendGrid, Stripe). Your use of third-party services is subject to their terms and privacy policies. Ervian is not responsible for third-party services. We are not liable for disruptions, data loss, or issues arising from third-party integrations.

11. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service. Ervian will handle your compliance data in accordance with our Privacy Policy. You agree not to disclose your account credentials or any confidential information about the platform to unauthorized parties.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." ERVIAN MAKES NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES. ERVIAN DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF COMPLIANCE INFORMATION PROVIDED THROUGH THE PLATFORM.

TO THE FULLEST EXTENT PERMITTED BY LAW, ERVIAN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ERVIAN'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ERVIAN IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

ERVIAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

14. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or use the Service in a way that creates legal risk for Ervian or other users. Upon termination, your right to access the Service ends. Your organization data will be retained for 30 days following termination, after which it may be permanently deleted.

15. Governing Law

These Terms are governed by the laws of Delaware, USA, without regard to conflict of law principles. Disputes shall be resolved through binding arbitration under the AAA rules, except that either party may seek injunctive relief in a court of competent jurisdiction.
